PREAMBLE
These General and Special Terms (hereinafter the “GST”) govern the paid insertion and publication of a professional listing in the healthcare professionals directory available at www.allodocteur.com.tn (hereinafter the “Directory”), published by Société New Business Média S.A.R.L (hereinafter the “Publisher”). By subscribing to the Paid Listing service, a Physician (hereinafter the “Advertiser”) fully and unreservedly accepts these terms.
GENERAL TERMS OF LISTING
ARTICLE 1
PURPOSE These General Terms define the conditions under which the Publisher provides the Advertiser with an enhanced or premium presentation space in the Directory, distinguishing them from other healthcare professionals (basic listing is free of charge).
ARTICLE 2
ADVERTISER’S OBLIGATIONS AND COMMITMENTS Qualification and Legality: The Advertiser certifies that they are a healthcare professional duly registered with the National Council of the Order of Physicians of Tunisia and legally authorised to practise medicine on Tunisian territory. Accuracy of Information: The Advertiser undertakes to provide complete, accurate and up-to-date information regarding their identity, speciality, address, contact details and services. They are solely responsible for the accuracy of the published data. Intellectual Property: The Advertiser warrants that they hold all copyright and usage rights (images, logo, text, etc.) for the content they provide to the Publisher for insertion in the Directory. Ethical Compliance: The content of the listing must strictly comply with the rules of Tunisian medical ethics, in particular regarding advertising and public information. The Advertiser warrants that their listing contains no misleading, false or excessive claims. Updates: The Advertiser undertakes to inform the Publisher without delay of any major change (change of address, telephone number, cessation of activity).
ARTICLE 3
PUBLISHER’S OBLIGATIONS Publication: The Publisher undertakes to publish the Advertiser’s professional listing in accordance with the terms set out in the Special Terms, within a reasonable time after receipt of payment and of all required information and supporting documents.
Maintenance: The Publisher undertakes to ensure the technical maintenance of the Directory in order to guarantee its availability 24/7, subject to necessary maintenance periods.
Non-competition: The Publisher is not bound by any exclusive non-competition obligation between the various listed Advertisers.
ARTICLE 4
LIABILITY:
Advertiser’s Liability: The Advertiser is solely responsible for the content and consequences of the publication of their listing. They indemnify the Publisher against any claim or action brought by third parties (patients, colleagues, the Order of Physicians) as a result of the published information.
Publisher’s Liability: The Publisher is bound by a best-efforts obligation. It cannot be held liable in the event of force majeure, service interruption due to network or IT failures, or the quality of the services provided by the Advertiser to their patients.
ARTICLE 5
TERMINATION In the event of a serious breach by either party of its contractual obligations (in particular non-payment by the Advertiser or unjustified failure to publish by the Publisher), the contract may be terminated by operation of law by the injured party, after formal notice has remained without effect.
SPECIAL TERMS OF LISTING (STL)
ARTICLE 6
DETAILS OF THE PAID LISTING
The Paid Listing services offered include, depending on the chosen plan: priority positioning in search results (e.g. at the top of the list); addition of enriched elements to the listing (profile photo, practice image gallery, link to a personal website); listing consultation statistics (if included in the offer).
ARTICLE 7
PRICES AND PAYMENT TERMS Pricing:
The cost of the Paid Listing service is set according to the rates in force at the time of subscription, determined by the duration and the level of enrichment of the listing. Prices are expressed in Tunisian Dinars (TND) and are [state whether exclusive or inclusive of tax].
Payment Terms: Payment is due in full, in a single instalment, at the time of subscription or renewal, using the payment methods accepted by the Publisher.
Payment Default: Any payment default on the due date will result in the immediate suspension of the Listing until the situation is regularised. Amounts due will bear interest at the increased statutory rate in force.
ARTICLE 8
TERM AND RENEWAL
Term: The Listing is subscribed for a fixed term of 12 months from the date of publication.
Renewal: Unless terminated by either party by registered letter with acknowledgement of receipt at least one month before the expiry date, the contract is tacitly renewed for an identical term at the rate in force on the renewal date. The Publisher undertakes to inform the Advertiser as the expiry date approaches.
ARTICLE 9
CHANGES BY THE PUBLISHER
The Publisher reserves the right to amend these GST and its rates at any time. Advertisers will be informed by email. Changes will only apply to new subscriptions or contract renewals.
ARTICLE 10
GOVERNING LAW AND JURISDICTION
These GST are governed by Tunisian law. Any dispute relating to their interpretation or performance shall be subject to the exclusive jurisdiction of the courts of Sousse.
